Agreeing to these terms
These terms are an agreement between you and Adiyen Technologies Private Limited (“Adiyen”, “we”, “us”) and govern your use of the SAAKSHI website, platform and related services (the “Service”).
If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these terms for it, and “you” includes that organisation. If your organisation has a signed order form or agreement with us, that document takes precedence over these terms where they differ.
Who can use SAAKSHI
SAAKSHI is a service for businesses. You must be at least 18 years old and use it for your work or your organisation’s purposes, not as a consumer for personal use.
Your account
- Give accurate information and keep it up to date.
- Keep access to your email account secure, since sign-in codes are sent there, and do not share your account or codes.
- Keep any keys, credentials or client secrets the Service gives you confidential, and rotate them if you think they have been exposed.
- Tell us promptly at info@saakshi.ai if you suspect unauthorised use. You are responsible for activity on your account.
Acceptable use
You agree not to:
- break any law, or use the Service to harm, deceive or defraud anyone,
- send content you do not have the right to share, or that infringes someone else’s rights,
- try to gain unauthorised access to the Service, other accounts or our systems, or test their vulnerability without our written permission,
- interfere with or overload the Service, or get around its limits or security features,
- copy, reverse engineer or decompile the Service, except where the law expressly allows it,
- use the Service to build a competing product, or
- resell or give third parties access to the Service unless we agree in writing.
Your content and data
You keep all rights to the data and content you or your AI agents send to the Service (“Your Content”). You give us permission to host, process and display Your Content only as needed to provide, secure and support the Service for you.
You are responsible for Your Content, including having the rights and permissions to send it to us, and for giving any notices and obtaining any consents the law requires from the people it relates to. We handle personal data as described in our Privacy Policy, and on your instructions where we process it on your behalf.
AI features
The Service includes AI-powered features, such as the website chat assistant, search and analysis of agent activity. AI outputs can be incomplete or wrong. Review them before relying on them.
SAAKSHI helps you record, monitor and review what your AI agents do. It does not make decisions for you, and it is not legal, financial or compliance advice. You remain responsible for your AI agents, the decisions made with them, and meeting the obligations that apply to your business.
Third-party services
If you connect a third-party service to SAAKSHI, such as an AI provider using your own key, your use of that service is governed by your agreement with its provider. We are not responsible for third-party services.
Confidentiality
Each of us will keep the other’s non-public business, technical and product information confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care. This does not apply to information that is public, was already known, is independently developed, or must be disclosed by law, in which case the disclosing party will give notice where allowed.
Our intellectual property
The Service, including its software, design, documentation and the SAAKSHI name and logo, belongs to Adiyen and its licensors. We give you a limited, non-exclusive, non-transferable right to use the Service while these terms apply, in line with these terms. If you send us feedback or suggestions, we may use them freely, without any obligation to you.
Availability and changes
We work to keep the Service available and secure, but it may sometimes be interrupted for maintenance, updates or reasons outside our control. We may improve or change the Service over time. We will not materially reduce the core functionality you rely on without telling you in advance.
Features marked as preview, beta or early access are provided as they are, may change or be withdrawn, and are not covered by any service commitments.
Suspension and termination
You can stop using the Service at any time. Either of us may end the agreement if the other materially breaches these terms and does not fix the breach within 30 days of notice.
We may suspend access immediately if needed to prevent harm to the Service, other users or the public, or if the law requires it. We will tell you why and restore access once the issue is resolved.
When the agreement ends, you can ask us to export Your Content within 30 days. After that, we delete it within a reasonable period, except where we must keep it by law.
Disclaimers
Apart from the commitments in these terms or your order form, the Service is provided “as is” and “as available”. To the extent the law allows, we do not give any other warranties, including that the Service will be uninterrupted or error-free, or fit for a particular purpose.
Limitation of liability
To the extent the law allows, neither of us is liable for any indirect, incidental, special or consequential losses, or for lost profits, revenue, goodwill or data, even if told they were possible.
This limit does not apply to breaches of confidentiality, either party’s indemnity obligations, or liability that cannot be limited by law.
Indemnity
You will defend and compensate Adiyen against third-party claims arising from Your Content, your AI agents, or your breach of these terms or the law. We will defend and compensate you against third-party claims that the Service, as we provide it, infringes their intellectual property rights. The party seeking protection must notify the other promptly and allow it to control the defence.
Governing law and disputes
These terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If it is not resolved within 30 days, it will be settled by arbitration before a sole arbitrator appointed by mutual agreement, seated in Bengaluru and conducted in English. Subject to this, the courts of Bengaluru, Karnataka have exclusive jurisdiction.
General
- We may update these terms. For significant changes we will notify account holders at least 30 days in advance. Continuing to use the Service after that means you accept the new terms.
- Neither of us may transfer this agreement without the other’s consent, except as part of a merger or sale of the business.
- Neither of us is responsible for delays caused by events beyond reasonable control.
- If any part of these terms cannot be enforced, the rest remains in effect. Not enforcing a right is not a waiver of it.
- These terms, together with any order form and our Privacy Policy, are the entire agreement between us about the Service.
